SUMMARY OF THE ROLE

We’re looking for an English qualified Senior Legal Counsel with 4-6 years’ PQE.  
Your main purpose in this role will be to provide business focussed professional support to the Group on all legal matters ensuring the company’s interests and rights are protected at all times and in adherence to our internal Group Authority Framework.  As a member of the Group’s Legal team, you’ll provide legal support, advice and guidance to the Group on a variety of matters, supporting the General Counsel as needed. The role will also involve liaising with external legal counsel in various jurisdictions throughout Europe.

RESPONSIBILITIES

The responsibilities will be varied and include (but are not limited to) Company Secretarial work, Trade Marks and IP, compliance, regulatory, litigation and dispute, employment, insurance, real estate and exit process involvement.  Here is a snapshot of some of your responsibilities in this broad and interesting role:

Company Secretarial Work

  • Providing company secretarial support for all UK companies in the group, including filings at Companies House (e.g. confirmation statements, director changes)
  • Assisting local teams with commercial register changes across the Group
  • Reviewing and drafting changes to articles of association across the Group (with support of local counsel where necessary)
  • Reviewing and drafting board and shareholder minutes/resolutions across Group (including minutes/resolutions approving financial statements), prepared by local counsel where necessary

Trade Marks and Intellectual Property

  • Applying for new trade marks as per business needs
  • Reviewing all trade mark renewals required and action accordingly
  • Advising local teams and the Group on registrability of names as trade marks
  • Enforcing IP rights against third parties, 
  • Updating Group copyright notice as appropriate

Compliance 

  • Providing guidance and advice regarding ultimate beneficial ownership (UBO) requests from across the Group, and maintaining the internal Group UBO register
  • Handling KYC requests from across the Group

Business Regulatory 

  • Acting as Anti-Bribery Committee (AB&C) secretary (including taking minutes of meetings) and assisting with aspects of AB&C as required 
  • Preparing annual Modern Slavery Statement (including liaising with risk and compliance team and others)

Litigation and Disputes

  • Reviewing, amending and approving court applications, litigation material and relevant communications
  • Summarising and presenting key factual legal issues relating to litigation/disputes to members of the Executive team

Insurance

  • Investigating, co-ordinating and bringing insurance claims on behalf of the Group 
  • Assisting with renewal of group-wide insurance policies – policies expire on 31st May each year

Other

  • Assisting with refinancing arrangements, acquisitions and reorganisations as required
  • Drafting and/or reviewing various agreements requiring legal input (for example, NDAs, promissory notes, novation agreements)
  • Providing ad hoc support to the Contracts team where necessary

SKILLS AND EXPERIENCE

  • English qualified with 4 – 6 years’ PQE 
  • Experience as a lawyer in a reputable London firm 
  • Some in-house experience (including on secondment) is a bonus, but not a requirement
  • Second language (preferably German) is desirable but not essential for the role
  • Open-minded, adaptable and willing to learn and accept new challenges

  • Commercially minded with a high accuracy focus and good attention to detail

  • Excellent communication skills and can explain legal issues clearly and simply
  • Pick up concepts quickly and have a hands-on common-sense approach
  • Proactive mindset
